Privacy

Your privacy is very important to us, which is why we've created a separate Privacy Policy in order to explain in detail how we collect, manage, process, secure, and store your private information. Our privacy policy is included under the scope of this User Agreement. To read our privacy policy in its entirety, click here.

Limitation of Warranties

By using our website, you understand and agree that all Resources we provide are “as is” and “as available”. This means that we do not represent or warrant to you that:

  1. The use of our Resources will meet your needs or requirements;
  2. The use of our Resources will be uninterrupted, timely, secure or free from errors;
  3. The information obtained by using our Resources will be accurate or reliable;
  4. Any defects in the operation or functionality of any Resources we provide will be repaired or corrected.

Furthermore, you understand and agree that:

  1. Any content downloaded or otherwise obtained through the use of our Resources is done at your own discretion and risk, and that you are solely responsible for any damage to your computer or other devices for any loss of data that may result from the download of such content.
  2. No information or advice, whether expressed, implied, oral or written, obtained by you from CODESQUAD or through any Resources we provide shall create any warranty, guarantee, or conditions of any kind, except for those expressly outlined in this User Agreement.

Limitation of Liability

In conjunction with the Limitation of Warranties as explained above, you expressly understand and agree that any claim against us shall be limited to the amount you paid, if any, for use of services. CODESQUAD will not be liable for any direct, indirect, incidental, consequential or exemplary loss or damages which may be incurred by you as a result of using our Resources, or as a result of any changes, data loss or corruption, cancellation, loss of access, or downtime to the full extent that applicable limitation of liability laws apply.

Ownership of Codes & Materials

Notwithstanding CodeSquad’s ownership of Submissions, as described in Paragraph below (“Client Feedback”), all codes and original source files created on Client’s behalf (“Projects”) belong to Client, and Client shall be the sole owner of the copyright for all Projects. In the event that any operation of law would cause CodeSquad to become the owner of a Project, in whole or in part, rather than Client, CodeSquad irrevocably and perpetually assigns its entire interest in the Project to Client, without limitation. Client warrants that any and all materials provided to CodeSquad as examples or as material to be incorporated into a project during the development process are owned by Client and do not infringe on or misappropriate any third party’s rights, including, but not limited to, all intellectual property rights and any right of publicity. CodeSquad always reserves the right to share the Client's development work publicly (social media, website, etc.) unless agreed upon as stated in paragraph “Showcasing Codes & Development Work”.

Client Feedback

Client acknowledges and agrees that any questions, comments, suggestions or other feedback or submission (each a “Submission”) shall be the sole property of CodeSquad and CodeSquad is under no obligation to keep a Submission confidential or take steps necessary to ensure the confidentiality of a Submission. CodeSquad shall be the sole and exclusive owner of all rights related to the Submission except to the extent that rights are granted to Client under Paragraph Above (“Ownership of Codes & Materials”), and shall at its sole and unrestricted discretion use and disseminate a Submission for any lawful purpose without permission, acknowledgment or compensation of or to the Client. Client agrees that it has the right to articulate and put forth the Submission and Client hereby waives all claims and recourse against CodeSquad for its use of the Submission in accordance with the terms hereof and in its sole discretion hereafter.

Third-Party Codes, Plugins & Services (APIs)

In the event that any Project incorporates fonts that are not owned by CodeSquad and require a commercial license in order for Client to legally reproduce, distribute, or publicly display the Project (“Third-Party Codes, Plugins & Services/APIs”), CodeSquad will inform Client in writing that one or more Third-Party Codes have been incorporated into the Project and that Client will need to purchase one or more licenses for the Third-Party Codes from the rights-holder(s) of said Third Party Codes in order to legally reproduce, distribute, or publicly display the Project. Said notice will include information sufficient for the Client to identify which licenses are required and who to contact in order to purchase said licenses. So long as CodeSquad has informed Client of the incorporation of Third-Party Codes as described above, Client assumes all responsibility for any consequences as a result of a failure by Client to purchase one or more licenses for any Third-Party Codes incorporated into a Project.

Showcasing Codes & Development Work

CodeSquad reserves to right to share development work on digital channels including social media, website, etc. unless otherwise agreed upon. The Client reserves the right to issue an NDA between themselves and CodeSquad, which in turn would void the right of CodeSquad to share or discuss the Client's work publicly.

Copyrights/Trademarks

All content and materials available on CODESQUAD.pro, including but not limited to text, graphics, website name, code, images and logos are the intellectual property of CODESQUAD, and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display or transmission of any content on this site is strictly prohibited, unless specifically authorized by CODESQUAD.

Termination of Use

You agree that we may, at our sole discretion, suspend or terminate your access to all or part of our website and Resources with or without notice and for any reason, including, without limitation, breach of this User Agreement. Any suspected illegal, fraudulent or abusive activity may be grounds for terminating your relationship and may be referred to appropriate law enforcement authorities. Upon suspension or termination, your right to use the Resources we provide will immediately cease, and we reserve the right to remove or delete any information that you may have on file with us, including any account or login information.

Governing Law

This website is controlled by CODESQUAD. It can be accessed by most countries around the world. By accessing our website, you agree that the statutes and laws of our state (California), without regard to the conflict of laws and the United Nations Convention on the International Sales of Goods, will apply to all matters relating to the use of this website and the purchase of any services through this site.

Furthermore, any action to enforce this User Agreement shall be brought in the federal or state courts you hereby agree to personal jurisdiction by such courts, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

Payment Methods

We accept the following as payments: US Bank Transfers, Visa, Mastercard, American Express, Discover, JCB, Diners Club, China UnionPay, and debit cards.

Sales Tax

For payments in California, sales tax is calculated at the state level. For payment outside California, there is no sales tax.

The Internet Tax Freedom Act, signed into law on Oct. 21, 1998, does not, as some have asserted, preclude sales and use taxes on any and all commerce conducted over the Internet. State and local governments are allowed to impose sales and use taxes on all such electronic sales, provided that the tax (and its rate) are the same as that which would be imposed on the transactions if they were conducted in a more traditional manner, such as over the phone or through mail order.

Returns & Refunds Policy

CodeSquad reserves the right to deny refunds based on its own self-discretion and without notice or liability to the Client. Refund requests are assessed on a case-by-case basis. Should the Client request a refund during the first month of use, all materials & codes produced by CodeSquad are ownership of the company and are prohibited from being used by the Client in any way. CodeSquad reserves the right to take appropriate legal actions against Client for breach of this paragraph.

Secure Payments & Connections

We use Secure Sockets Layer (SSL) through our payment processor Stripe to encrypt your credit card number, name, and address before transmission, so only CodeSquad is able to decode your information.
To be sure your connection is secure, look at the bottom status bar of your browser window. If you see an unbroken key or a closed lock (depending on your browser), the SSL is active and your information is secure. Most browsers offer additional security alerts as well.
With regard to overall security, we always use industry-standard encryption technologies when transferring and receiving data exchanged with our site. The facilities that house our servers are physically secured to protect against the loss, misuse, or alteration of all data and information collected.

Guarantee

UNLESS OTHERWISE EXPRESSED, CODESQUAD EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
